Please read these Terms and Conditions carefully before using our website or placing an order. These terms govern your use of the SOLU Solar Distribution website and all transactions with SOLU Solar Distribution LLC (DBA Axelo USA).

1. Acceptance of Terms

By accessing or using the website located at solu-distribution.com (the "Site") or purchasing products and services from SOLU Solar Distribution LLC, also doing business as Axelo USA ("SOLU," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Site or our services.

2. Company Information

SOLU Solar Distribution LLC (DBA Axelo USA) is a wholesale solar equipment distributor headquartered at 200 Spectrum Center Drive, STE 300, Irvine, CA 92618. We operate distribution warehouses in California, Texas, Georgia, and New Jersey to serve customers nationwide.

3. Products and Services

SOLU Solar Distribution provides wholesale B2B solar equipment including tier-1 solar panels, DC fast EV chargers (120–400kW), battery energy storage systems (BESS), and commercial solar carport structures. We also offer Turnkey Solar EPC services, excess inventory purchasing, and flexible equipment storage solutions. All sales are subject to separate purchase agreements and order confirmations.

4. Wholesale and B2B Sales

Our products and services are intended for business-to-business (B2B) transactions. By placing an order, you represent that you are purchasing for commercial or business purposes. Pricing, availability, and terms are subject to change without notice. All quoted prices are valid only for the period specified in the written quote. SOLU reserves the right to decline any order at its sole discretion.

5. Payment Terms

Payment terms are established in individual purchase agreements or order confirmations. Unless otherwise agreed in writing, payment is due prior to shipment. SOLU accepts wire transfer, ACH, and other payment methods as specified at the time of order. Late payments may be subject to interest charges as specified in the applicable purchase agreement.

6. Shipping and Delivery

Shipping terms, delivery timelines, and freight responsibilities are specified in individual purchase agreements. SOLU is not liable for delays caused by carriers, customs, weather, or other circumstances beyond our control. Risk of loss transfers to the buyer upon delivery to the carrier unless otherwise agreed in writing.

7. Returns and Warranties

All sales are final unless otherwise specified in a written agreement. Product warranties are provided by the original manufacturer and are subject to the manufacturer's terms and conditions. SOLU does not provide independent product warranties beyond those offered by manufacturers. Any warranty claims must be submitted directly to the manufacturer unless SOLU has agreed in writing to handle such claims on your behalf.

8. Intellectual Property

All content on this Site, including text, images, logos, graphics, and design elements, is the property of SOLU Solar Distribution LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Site without prior written permission from SOLU.

9. Member Access and Inventory Portal

Access to the inventory portal and live pricing is restricted to authorized members only. Member credentials are non-transferable and must not be shared with third parties. SOLU reserves the right to revoke member access at any time for any reason, including but not limited to unauthorized use or violation of these Terms.

10. Limitation of Liability

To the fullest extent permitted by applicable law, SOLU Solar Distribution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our products and services. Our total liability for any claim shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless SOLU Solar Distribution LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

13. Changes to Terms

SOLU reserves the right to update or modify these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.
